These Terms of Service ("Terms") govern your use of the "Sentinel Stake" Website and/or Platform (accessible atwww.sentinelstake.com) and any services provided by Sentinel Stake LLC, a limited liability company based in Delaware, United States of America (“USA”) ("Sentinel", "We", "Us").

These Terms apply to all users ("User" or "You") accessing or using the Sentinel Stake Website and/or Platform and/or any services provided by Sentinel, from time to time.

BY ACCESSING OR USING THE SENTINEL WEBSITE, PLATFORM, SERVICES OR ANY PART THEREOF, YOU CONSENT TO THESE TERMS FORMING A LEGALLY BINDING CONTRACT BETWEEN SENTINEL AND YOU, AND YOU AGREE TO ABIDE BY AND BE BOUND BY THE TERMS SET FORTH HEREIN, THE PRIVACY POLICY, AND ANY OTHER POLICY FORMULATED BY US, AS UPDATED OR MODIFIED, FROM TIME TO TIME, IN ACCORDANCE WITH THE PROVISIONS THEREIN.

USERS ARE ADVISED TO CAREFULLY REVIEW THESE TERMS BEFORE PROCEEDING WITH THE DELEGATION OF TOKENS. THE ACT OF SUCCESSFUL DELEGATION BY USER SHALL BE DEEMED UNEQUIVOCAL ACCEPTANCE OF THESE TERMS AS A LEGAL AND BINDING CONTRACT. IF THE USER DOES NOT AGREE WITH, UNDERSTAND, OR IS UNABLE TO COMPLY WITH THESE TERMS, THE USER SHALL NOT DELEGATE TOKENS TO SENTINEL NOR OTHERWISE AVAIL ANY SERVICES.

  • Recitals

    • These Terms and Conditions form part of the contract between you and Sentinel Stake LLC, 16192 Coastal Highway, Lewes DE 19958, United States of America ("USA") the website and platform that can be found onwww.sentinelstake.com, all associated code and other elements that make up this whole, social media sites of Sentinel Stake, found on Discord, Telegram and X., hereinafter referred to as "Sentinel". Please read these Terms and Conditions, the Privacy Policy, and any other applicable rules, policies and conditions published on Sentinel‘s website and/or web-application, before you use any of the services. By using Sentinel, creating an account, linking your wallet, delegating tokens/funds, and/or using any other service of Sentinel, you agree to be bound by the terms of this Agreement on behalf of yourself and any third parties using the aforementioned services within your account. If you do not accept the terms of this Agreement, you may not use Sentinel and/or any of its services.
  • Definitions for Purposes of this Agreement

    • Sentinel is an institutional-grade crypto staking services provider, operating high performance validators on Solana and other blockchains. All validator operations are SOC2 certified and compliant. The resources of Sentinel are: a landing page website that can be found onwww.sentinelstake.com, and social media sites of Sentinel, found on Discord, Telegram and X.
    • User is a term that describes anyone who interacts with Sentinel in any way shape or form. The term "User" is also used as an umbrella term for both "User" and "Client".
    • Client means a User who entered into a contract with Sentinel for the Delegation of Funds.
    • Delegation of Funds (also Delegated Funds) means the act by which a Client authorizes and transfers digital assets (cryptocurrencies) onto Sentinel for the sole purpose of participating in the validation process. The Client retains ownership of the underlying assets (the private keys of the delegated digital assets), while granting Sentinel the authority to re-delegate such assets within the blockchain network it resides on at its discretion, subject to these Terms and Conditions and potential specific contracts in place with each User.
    • Validator Node means a server or cluster of servers operated and managed by Sentinel for the purpose of validating transactions and securing blockchain networks that use a Proof-of-Stake ("PoS") or similar consensus mechanism. Validator Nodes are responsible for proposing and verifying new blocks, and in return, may earn Staking Rewards distributed proportionally to participants (Clients who Delegated Funds).
    • Staking rewards means the compensation, denominated in digital assets, earned by the Delegated Funds through the successful validation of blockchain transactions via Validator Nodes. Staking Rewards are typically issued by the underlying blockchain network as incentives for participating in consensus and securing the network. Sentinel may distribute Staking Rewards to Clients proportionally, net of applicable fees, penalties, and other deductions, as set forth in these Terms and Conditions and potential specific contracts in place with each User.
    • Management Fees means the fees charged by Sentinel for operating Validator Nodes, managing the Delegated Funds, and administering the delegation of assets. Management Fees may be deducted from the Staking Rewards before distribution to the Client, and are subject to the fee schedule disclosed in the applicable contract between the Client and Sentinel.
    • Client Wallet means the blockchain wallet or address owned and controlled by the Client, designated for the receipt of Staking Rewards and/or return of Delegated Funds. Sentinel will not take custody of or exercise control over the Client Wallet. It is the Client‘s sole responsibility to ensure the security, compatibility, and ongoing access to its designated Client Wallet.
    • Slashing refers to a protocol-level penalty imposed by a blockchain network for Validator Node misbehavior or performance failures, such as double-signing, downtime, or other violations of consensus rules. Slashing may result in the partial or total loss of staked assets. The Client acknowledges and accepts that Delegated Funds are subject to Slashing risk, and that Sentinel and/or its partners shall not be liable for losses incurred due to protocol-imposed Slashing.
    • Know Your Customer ("KYC") refers to the identity verification process that may be required by Sentinel to establish the legal identity and legitimacy of a Client prior to or during the provision of Services. KYC procedures may include, but are not limited to, the collection of corporate documents, beneficial ownership information, government-issued identification, and other data necessary to comply with applicable regulatory obligations.
    • Anti-Money Laundering ("AML") refers to the policies, procedures, and controls implemented by Sentinel and/or required by applicable law to detect, prevent, and report activities associated with money laundering, terrorist financing, fraud, and other illicit financial conduct. Clients must comply with the Sentinel‘s AML requirements as a condition to accessing the Services.
    • Institutional Onboarding Requirements means the set of documentation, verifications, disclosures, and compliance procedures that may be required by Sentinel prior to accepting any Delegation of Funds from an institutional Client. This may include KYC and AML checks, proof of authority for signatories, tax residency declarations, and any other documentation required to meet regulatory, legal, or internal risk management standards.
  • Sentinel Services

    • Sentinel provides the following services 1. managing and operating Validator Nodes, and 2. distributing Staking Rewards from these services between Users. Other services that Sentinel may execute are ancillary to the services mentioned in the previous sentence. (all together "Services")
  • Terms and Conditions for Users and Clients

    • Users may access Sentinel‘s Website free of charge through the Internet.
    • Users may send an inquiry for Delegation of Funds through the Website or the provided
    • Use of the Services is strictly limited to legal entities and institutional clients who meet the eligibility and compliance requirements set forth herein. By accessing or using the Services, the Client represents and warrants that:
      • Legal Capacity and Authority: The Client is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or formation. The individual accepting these Terms on behalf of the Client has full legal authority to bind the Client to these Terms and Conditions and/or other applicable contracts between the Client and Sentinel.
      • Minimum Age: The individual authorized to act on behalf of the Client is at least eighteen (18) years of age (in some jurisdictions up to twenty-one (21) years).
      • Institutional Onboarding Requirements: The Client has completed, and agrees to maintain, all Institutional Onboarding Requirements, including without limitation compliance with Sentinel‘s KYC and (AML) procedures. Sentinel reserves the right, in its sole and absolute discretion, to approve or deny onboarding of any Client, and may suspend or terminate Services at any time based on the outcome of compliance reviews or risk assessments.
      • Responsibility for Compliance: The Client is solely responsible for ensuring that its use of the Services complies with all applicable laws, regulations, and internal governance obligations, including those related to the delegation of digital assets and receipt of Staking Rewards. Sentinel disclaims all liability for any failure by the Client to comply with applicable legal or regulatory requirements. applicable legal or regulatory requirements.
      • Persons Subject to Sanctions:The User is not, and is not owned or controlled by, or acting on behalf of, any other Person identified on any list of prohibited parties maintained by any Law or by any Governmental Authorities, such as, for example, the lists maintained by the United Nations Security Council, the United States government (including the U.S. Treasury United States government (including the U.S. Treasury Department‘s Specially Designated Nationals list and Foreign Sanctions Evaders list), the European Union (EU) or its member states, and the government of User‘s country of citizenship. The User is not situated, habitually resident, organized, established, or domiciled in Cuba, Iran, North Korea, Sudan, Syria, the Crimea area (including Sevastopol), or any other nation or jurisdiction against which the United States maintains economic sanctions or an arms embargo. Tokens issued by Users are not sourced from, or otherwise represent the proceeds of, any unlawful or illegal activity.
      • No Claim, Loan, Ownership Interest, or Investment Purpose:User understands and agrees that neither User‘s Delegation of Validation Rights and Voting Rights to Sentinel, nor Sentinel‘s provision of Services hereunder: (a) represents or constitutes a loan or contribution of capital to, or other investment in, Sentinel; or (b) provides User with any ownership interest, equity, security, or right to or interest in Sentinel‘s assets, rights, properties, revenues, or profits, or any voting rights whatsoever in, Sentinel; or (c) creates or suggests any fiduciary or other agency connection between Sentinel and any of its directors, officers, employees, agents, or affiliates, or entitles User to any fiduciary or similar responsibility on the behalf of any of the above Persons. The User is not engaging in these Terms or delegating Validation Rights or Voting Rights to Sentinel to make an investment in Sentinel or its securities, but rather to obtain the Services from Sentinel. The User acknowledges and accepts that Sentinel will not receive or hold any Staking Rewards on the User‘s behalf and that the Validator Node has no obligation or control over whether the network delivers Staking Rewards to the User.
      • Non-Reliance: The User is well-versed, experienced, and intelligent in the use and evaluation of the network and related technologies, and its suitability. In deciding to delegate any Validation Rights or Voting Rights to Sentinel and enter into these Terms, the User has conducted its own thorough independent investigation and analysis of the network and the other matters contemplated by these Terms, and has not relied on any information, statement, omission, representation or warranty, express or implied, written or oral, made by or on behalf of Sentinel in connection therewith.
      • No Advice: User understands and agrees that Sentinel is not the User‘s broker, custodian, intermediary, agent or advisor, and that Sentinel has no fiduciary relationship or obligation to the User. Sentinel does not provide investment or consulting advice of any kind and no communication or information that Sentinel provides to the User is intended as, or should be construed as, advice of any kind. construed as, advice of any kind.
      • Any breach of these representations and warranties may result in the suspension or termination of their access to Services and may subject them to contractual penalties and/or legal or regulatory action. Sentinel reserves the right to take any necessary measures to protect its interests and the integrity of the network, including reporting violations to relevant authorities and implementing technical or contractual restrictions as deemed appropriate.
  • Acknowledgment of the Decentralized and Permissionless Nature

    • The User acknowledges and understands that, due to the permissionless and decentralized nature of the blockchain, Sentinel has no control over other Validator Nodes on the blockchain. Specifically, given these inherent characteristics of the blockchain, the User acknowledges that their participation is entirely voluntary and undertaken at their sole risk. The User agrees that Sentinel shall not be responsible for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of funds, business, reputation, or data, arising out of or related to the User‘s use of the platform.
    • Furthermore, the User expressly acknowledges and agrees that Sentinel shall not be liable for any consequences, legal or otherwise, resulting from the User‘s failure to comply with these conditions. Sentinel‘s knowledge, lack of knowledge, or failure to act upon any non-compliance by the User shall not be deemed a waiver of any rights, remedies, or defenses available to Sentinel under these Terms or applicable law.
    • Fork Handling: Like all decentralized, open-source blockchains and blockchain protocols, the Validator Nodes may experience "Forks". Forks occur when some or all of the people running the software for a specific blockchain adopt a new client or a new version of an existing client that: (a) changes the protocol rules in a backward-compatible or backward-incompatible way that affects which transactions can be added into later blocks, how later blocks are added to the blockchain, or other matters relating to the protocol‘s future operation; or (b) reorganizes or changes past blocks to alter the history of the blockchain. Some forks are "contentious", and as a result, two or more lasting alternate versions of the protocol or blockchain may be perceived or claimed to be the genuine continuation of the original. Sentinel may be unable to predict, control, or influence the incidence or result of Validator Nodes or other blockchain splits, and assumes no risk, responsibility, or duty in this regard. Without limiting the extent of the foregoing, Sentinel assumes no duty for informing Users of pending, threatened, or actual forks. Sentinel will respond to any Forks in its full and absolute discretion, and Sentinel shall have no duty or liability to the User if such action benefits Sentinel at the expense of the User. Without limiting the generality of the preceding, Sentinel‘s possible and permissible responses to a Fork include, among other things, (i) continuing to serve as a Validating Node on both chains; (ii) serving as a Validating Node only on one chain; (iii) ceasing to serve as a Validating Node on both chains; or (iv) switching from serving as a Validating Node on one such chain to serving as Validating Node on the other chain. In the case of a Fork, the same amount of tokens/Validation Rights that were bonded/successfully Delegated to Sentinel on the original chain will be bonded/delegated to Sentinel on the Forked chain by default. If Sentinel does not choose to support both chains, the User‘s validation rights and voting rights on the unsupported chain may go unexecuted, and the User may temporarily or permanently lose Delegated Funds and/or Staking Rewards. User assumes full responsibility for autonomously staying informed about prospective Forks and managing User‘s interests in connection with them, including possibly withdrawing a Delegation to the public key of Sentinel‘s Validator Node on a Fork that Sentinel does not support.
    • Except as otherwise specified in these Terms, the outcomes of Services shall be determinative of the rights and duties of and shall be final, binding on, and non-appealable by the parties to these Terms. Without limiting the generality of the foregoing, User acknowledges and agrees that taking any action or exercising any right, power, or privilege that a Validating Node may take or exercise shall not constitute a breach, violation, or contravention of these Terms or any duty or obligation owed by Sentinel to User and that any percentage of Staking Rewards, Transaction Fees, or other rewards paid to Sentinel as a consequence of Services constitute Management Fees and shall be the exclusive property of Sentinel, with no claim, rights, or interests in them.
    • Non-Custodial: Sentinel operates strictly as a non-custodial staking infrastructure provider and does not, at any point, take custody, possession, or control of your digital assets, tokens, private keys, or wallet credentials, nor is it responsible for the acts or omissions of your custodians and other service providers. Users are solely omissions of your custodians and other service providers. Users are solely responsible for managing and safeguarding their cryptographic private keys and wallet access. Sentinel does not request, store, or recover your private keys, and the User should not share your wallet information with Sentinel or any unauthorized party, and any transactions executed through your wallet (whether by Users or any third party) shall be deemed authorized by User. We make no representations or warranties regarding the compatibility of our Services with any specific wallet provider, blockchain network, or third-party application. You acknowledge that your wallet is an independent, third-party tool, and We assume no responsibility or liability for its security, functionality, errors, or any unauthorized access, failures, or disruptions in connection with your use of any wallet. Sentinel is not responsible for any loss of funds, staking rewards, penalties, or slashing events resulting from issues related to your wallet, incorrect transactions, or unauthorized access.
    • No Fiduciary Responsibility: These Terms do not create or impose any fiduciary duties on Sentinel. To the fullest extent permitted by law, You acknowledge and agree that Sentinel owes the User (Client) no fiduciary obligations, trust obligations, or equitable duties. Any and all fiduciary duties that may otherwise exist at law or in equity are hereby expressly disclaimed, waived, and eliminated. The User (Client) further agrees that Sentinel has no duty to act in your best interest beyond the obligations expressly set forth in these Terms.
  • Restrictions

    • The User may not use Sentinel contrary to its intended use.
    • The User shall not attempt to circumvent, alter, hack and/or otherwise attempt to misuse Sentinel.
    • By using Sentinel‘s Services, the User agrees not to engage in any unlawful, unauthorized, or harmful activities, including but not limited to:
      • Accessing, using, or delegating validation rights on the Validator Nodes and/or Services if the Delegated Funds involved in the Services are classified as securities under any applicable law and require registrations, licenses, or permits not held by Sentinel.
      • Using the Services if the User is in a Restricted Jurisdiction or otherwise subject to sanctions imposed by any governmental authority, including being listed on the OFAC list or any other restricted persons list.
      • Using the Services in a manner that would cause Sentinel to be classified as a "money transmitter" under AML or any KYC regulations, without the ability to comply due to the decentralized and permissionless nature of the blockchain.
      • Attempting to use the Services fraudulently, deceptively, or unlawfully, including using false identities, circumventing KYC/AML requirements, or engaging in activities that may compromise the integrity of the Validator Nodes and/or the blockchain.
      • Violating any applicable Laws, regulations, or contractual obligations related to staking, node operations, or blockchain governance.
      • Infringing upon intellectual property rights, including copyrights, trademarks, patents, trade secrets, or privacy and publicity rights.
      • Engaging in any form of deceitful or fraudulent activities such as market manipulation, front-running, sandwich attacks, or other deceptive practices that disrupt fair participation in blockchain ecosystems.
      • Attempting to gain unauthorized access to Sentinel‘s validator nodes, staking infrastructure, consensus mechanisms, or other restricted systems.
      • Disrupting, compromising, or interfering with the security, consensus integrity, or performance of blockchain networks, validator operations, or staking pools.
      • Impersonating any person, validator entity, or protocol participant, misrepresenting validator status, or providing false or misleading information.
      • Engaging in conduct that could harm, disable, overburden, or impair Sentinel‘s infrastructure, validator health, or blockchain security.
      • Criticising or otherwise disseminating false, misleading, or harmful information about Sentinel, its validators, staking protocols, or blockchain networks, during and/or after the term of User‘s use of the Services.
      • Engaging in collusion, Sybil attacks, censorship attacks, or any malicious activities that compromise decentralization, consensus mechanism, and/or fair validator participation.
      • Exploiting smart contract vulnerabilities, manipulating oracles, and/or making unauthorized modifications to blockchain protocols or governance proposals.
  • Not Meant for Children

    • Underaged natural persons may not use Sentinel nor any of its services. Depending on your residency the term underaged may vary in accordance with the law anywhere from 18 to 21 years old.
  • Disclaimer of Warranties and Limitation of Liability

    • To the fullest extent permitted by applicable law, Sentinel and/or its partners shall have no liability whatsoever for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of opportunity, or loss of digital assets, arising out of or in connection with the use of, or inability to use, the Services, even if Sentinel and/or its partners have been advised of the possibility of such damages. Sentinel provides its Services strictly on an "as is" and "as available", with all fault‘s basis, without any representation or warranty, whether express, implied, or statutory, to the maximum extent permitted by applicable law. The User acknowledges and agrees that their use of Services is entirely at their own risk. Sentinel does not guarantee the availability, reliability, or performance of its Services, nor does it guarantee the functionality or stability of the blockchain networks it interacts with. Without limiting the generality of the foregoing, Sentinel nor its partners shall not be liable for:
      • Any losses resulting from Slashing, network malfunctions, protocol-level changes, bugs, or other technical issues on the underlying blockchain(s);
      • Any losses resulting from network malfunctions, protocol-level changes, bugs, or other technical issues on the underlying blockchain(s);
      • Delays, errors, or interruptions in the distribution of Staking Rewards;
      • Failures in third-party infrastructure, wallet providers, or custodians used by the Client;
      • Any force majeure events as defined in these Terms below (including but not limited to natural disasters, wars, civil disturbances, government restrictions, cyber warfare, regulatory crackdowns, network congestion, or any other events beyond Sentinel‘s reasonable control);
      • Any act or omission by the Client, including misconfiguration of a Client Wallet or failure to comply with these Terms and/or applicable contract between the Client and Sentinel and/or applicable law.
    • The Client acknowledges and agrees that its sole and exclusive remedy for dissatisfaction with the Services is to discontinue use of the Services.

    • Sentinel or its partners are not responsible in any way for the accuracy of the displayed information on Sentinel.
    • Sentinel or its partners do not guarantee, represent, or warrant that the Users use of Services will be uninterrupted or error-free, and the Users agree that Sentinel or its partners may modify the Services at any time.
    • Sentinel or its partners do not represent or guarantee that the Services will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion, and Users hereby release Sentinel and its partners from any civil and/or criminal liability relating thereto.
    • Sentinel or its partners are not responsible for data charges you may incur in connection with your use of Sentinel and/or its Services.
    • By using the Services, the Users agree, to the extent permitted by law, to indemnify and hold Sentinel and its partners, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any claims arising out of the Users‘ breach of this agreement, Users‘ use of the Services, or any action taken by Sentinel and its partners as part of its investigation of a suspected violation of this agreement or as a result of its finding or decision that a violation of this agreement has occurred. The Users agree that they shall not sue or recover any damages from Sentinel or its partners, its directors, officers, employees, affiliates, agents, contractors, and licensors as a result of its decision to remove or deny access to any information or content, to suspend or terminate your access to the Services, or to take any other action during the investigation of a suspected violation or as a result of Sentinel‘s conclusion that a violation of this agreement has occurred. This waiver and indemnity provision applies to all violations described in or contemplated by this agreement and/or any applicable contract between Sentinel and the User and/or Client.
    • Sentinel reserves the right to assume exclusive defense and control of any matter subject to indemnification by the User, and the User agrees to cooperate fully in such defense promptly at your cost and expense. The User may not settle any claim without our prior written consent.
    • Sentinel will make commercially reasonable efforts to process staking and/or restaking transactions in a timely manner; however, it does not guarantee the speed, success, or outcome of any transaction. The completion of transactions is dependent on multiple external factors, including but not limited to blockchain congestion, validator set limitations, smart contract execution, protocol governance decisions, Network forks, software bugs, and third-party infrastructure failures. Sentinel shall not be liable for any delays, failures, or losses arising from these external or other dependencies.
    • The User may seek or receive technical or product support, information, advice, or guidance from Sentinel regarding its Services, including through third-party service providers, chat interfaces, or email. While Sentinel strives to provide reliable and accurate support, it does not make any representations or warranties, express or implied, regarding its accuracy, completeness, or the results obtained from it. All support provided by Sentinel is for informational purposes only, and by accepting such support, the User acknowledges that they have the necessary skill and experience to evaluate and use Services at their own discretion and risk. In all cases, the User agrees to hold Sentinel harmless from any injury, loss, or damage arising from the support provided.
    • The User acknowledges that customer support may be impersonated by malicious third parties, and Sentinel is not responsible for any actions, losses, or damages caused by such impersonators.
    • Sentinel provides its Services strictly in accordance with applicable Laws and industry standards but does not guarantee that its Services will meet the legal or regulatory requirements applicable to any specific User. Users are solely responsible for ensuring their compliance with all Laws, regulations, and contractual obligations that may apply to their participation in staking, delegation, or any related activities.
    • Sentinel does not assume any liability for any legal, financial, tax, or regulatory consequences arising from a User‘s use of its Services. Sentinel makes no representations or warranties regarding the legality, permissibility, or regulatory status of staking, delegation, or any associated transactions in any jurisdiction. Users are advised to seek independent legal and financial advice before engaging with the services.
    • By using the Sentinel‘s Services, the User expressly acknowledges and agrees to all the disclaimers contained herein. If the User does not agree with any part of this Disclaimer, they must immediately cease using the Sentinel Platform and Services.
    • Without prejudice to the foregoing and notwithstanding any other provision in these Terms or any other agreement executed between the User and Sentinel, in no event shall the total aggregate cumulative liability of Sentinel, its affiliates, directors, officers, employees, agents, and representatives for any and all claims, damages, losses, liabilities, costs, or expenses, whether in contract, tort (including negligence, misconduct), strict liability, or otherwise, exceed USD 2,500.00 (two thousand five hundred 0/100 United States dollars). This limitation shall apply regardless of the number of claims, events, or circumstances and shall constitute full and final settlement of all liabilities against Sentinel arising from or related to the relevant event/s. Any such payment shall constitute full and final settlement of all claims and liabilities against Sentinel arising from the relevant event(s). Furthermore, the User acknowledges and agrees that Sentinel and its affiliates, directors, officers, employees, agents, and representatives are not aware of any special circumstances applicable to the User, and that monetary damages are an adequate remedy. The User expressly waives any right to claims beyond above damages, including but not limited to claims in rem, injunctions, or specific performance.
    • To the fullest extent permitted by law, the User irrevocably waives and releases Sentinel from any and all claims, liabilities, losses, or damages arising from or related to their use of the Services, including those resulting from technological limitations, staking risks, regulatory uncertainty, mismanagement, third-party actions or omissions (whether with or without Sentinel‘s knowledge), or any other unforeseen consequences.
    • No Responsibility for Third-Party Services: Sentinel does not operate, control, or endorse the content, products, or services of any third party. Sentinel is not responsible for any information, privacy policies, security practices, or terms of service associated with third-party services. User‘s use of any third-party Services is solely at its own risk, and Sentinel encourages Users to review their terms and policies before engaging with them. If our Services integrate with third-party terms and policies before engaging with them. If our Services integrate with third-party platforms (such as custodians, blockchain networks, or external APIs), the User acknowledges that: Sentinel is not liable for any failure, delay, interruption, or security breach caused by third-party services. Any transactions conducted through third-party services are solely between the User and the third party, and Sentinel does not assume any liability for disputes, errors, or fraudulent activities. Sentinel does not warrant the accuracy, reliability, or completeness of any content, products, or services provided by third parties.
  • Risk Disclosure

    • The Client acknowledges and accepts that participation in Services (staking activities and delegation of digital assets) involves inherent risks, including but not limited to:
      • Staking and Digital Asset Risks:
        • Staking carries the risk of partial or total loss of the delegated digital assets due to market volatility, protocol-level failures, validator misbehavior, or disruptions in blockchain network performance.
        • Returns on staking are not guaranteed. Past performance is not indicative of future results.
        • Many blockchain protocols impose Slashing penalties for validator misconduct or technical failures, which may result in the forfeiture of staked assets.
        • Staked assets may be subject to lock-up or unbonding periods, rendering them temporarily illiquid and inaccessible.
        • Staking rewards may be reduced due to factors such as validator downtime, network congestion, protocol changes, or governance decisions.
        • Sentinel and/or its partners do not guarantee continuous, uninterrupted, or maximum generation of staking rewards.
      • Network, Security, and Technical Risks:
        • Staking services rely on decentralized blockchain networks, which may be subject to outages, latency, congestion, forks, or other disruptions that impact performance, reward distribution, or asset availability.
        • Blockchain protocols and smart contracts may contain bugs, design flaws, exploits, or vulnerabilities. Sentinel has no control over the development, maintenance, or security of such third-party protocols.
        • Digital assets are exposed to cybersecurity risks, including hacking, phishing attacks, malware, and network breaches. While Sentinel implements reasonable security practices, no system is immune to attack.
        • Sentinel does not control or manage the Client’s private keys. The Client is solely responsible for securing all private keys and wallet credentials. Loss of access may result in permanent loss of assets.
      • Regulatory and Compliance Risks:
        • The regulatory status of digital assets, staking activities, and related services varies across jurisdictions and is subject to frequent change without notice.
        • Government authorities may impose new restrictions, registration or licensing obligations, tax liabilities, or outright bans.
        • Regulatory actions may result in the freezing, confiscation, or limitation of digital assets or staking services.
        • Some jurisdictions may not recognize digital assets as legal property, affecting Clients’ rights.
        • Legislative changes may limit or prohibit access to the Services, and Sentinel expressly disclaims any liability resulting from such regulatory changes.
      • Third-Party Risks:
        • Sentinel relies on third-party infrastructure, including blockchain networks, custodians, validators, and data providers. Operational failures, mismanagement, or cybersecurity breaches by these third parties may impair service availability or lead to asset losses.
        • Clients who delegate assets via third-party wallets, exchanges, or custodians are subject to the terms and risks imposed by such providers. Sentinel bears no responsibility for losses arising from the acts, omissions, misrepresentations, insolvency, or incompetence of such third parties.
        • Sentinel is not liable for any damages or losses resulting from malicious actors, rogue validators, or unauthorized access, whether such actions occur within or outside Sentinel’s knowledge or control.
      • Availability and Service Risks:
        • While Sentinel endeavors to maintain high availability, access to the Services or Platform may be interrupted due to scheduled maintenance, network issues, or force majeure events.
        • Delegation errors or staking disruptions may occur due to Client-side misconfiguration, misunderstanding of protocol mechanics, or delays inherent in blockchain confirmation times.
        • Some Services may be restricted or unavailable in certain jurisdictions due to legal or regulatory limitations.
        • Clients are solely responsible for ensuring that their use of the Services complies with the laws and regulations applicable in their jurisdiction.
      • Counterparty and Liquidity Risks:
        • Digital assets may be subject to limited liquidity, and Clients may be unable to unstake or liquidate positions without incurring significant loss or delay.
        • Clients are exposed to counterparty risks, including defaults, bankruptcy, or mismanagement by third parties.
        • Liquidity may further diminish during periods of market stress or high volatility, increasing the risk of capital loss or delayed withdrawals.
      • Digital Asset and Market Risks:
        • The value of digital assets is highly speculative and may fluctuate rapidly due to market sentiment, macroeconomic factors, regulation, or technological evolution.
        • In the event that a single entity gains control over a majority of a blockchain’s network power (e.g., a 51% attack), staking rewards and the integrity of the network may be compromised.
        • Blockchain networks may undergo forks, upgrades, airdrops, or governance actions that affect service compatibility, staking dynamics, and asset valuation.
        • Public perception, media coverage, enforcement actions, or sudden adverse market events may severely impact the value of staked assets.
  • The Client agrees to assume full responsibility for evaluating the risks associated with the Services and to hold Sentinel and its partners harmless from any and all losses or liabilities arising from such risks.

  • Intellectual property

    • All parties expressly and unconditionally declare that any and all intellectual property rights on Sentinel, including but not limited to its state now and in the future, the source code, functionalities, designs, innovations, solutions, branding, logo(s), name, brand identity, products, applications, websites, programs, industrial property rights and similar are fully, exclusively, geographically without limitations, timewise indefinitely and without any other material and/or other limitations in the sole ownership of Sentinel.
  • General

    • Information and data collected by Sentinel. Sentinel collects and processes data in accordance with the Privacy Policy.
    • NO CLASS ACTION: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE AGREE THAT THERE WILL BE NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT, HEARD, OR ARBITRATED AS A CLASS ACTION (INCLUDING WITHOUT LIMITATION OPT OUT CLASS ACTIONS OR OPT IN COLLECTIVE CLASS ACTIONS), OR IN A REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL CAPACITY ON BEHALF OF A CLASS OF PERSONS OR THE CAPACITY ON BEHALF OF A CLASS OF PERSONS OR THE GENERAL PUBLIC. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. HOWEVER, THIS PROVISION MAY NOT BE ENFORCEABLE IN ALL JURISDICTIONS AND, IN SUCH CASES, CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATIONS, PRIVATE ATTORNEY-GENERAL ACTIONS, AND ANY OTHER PROCEEDING WHERE SOMEONE ACTS IN A REPRESENTATIVE CAPACITY ARE NOT PROHIBITED AND MAY BE AVAILABLE.
    • Successors and Assigns: These Terms will benefit the parties and their respective permitted successors, assigns, transferees, and delegates, and will be binding on all of the foregoing persons as well as any Person who may otherwise succeed to any right, obligation, or liability under these Terms by operation of law or otherwise. User shall not share, provide a copy of, or transfer to any Person the private key associated with any tokens for which Validation Rights have been Delegated to Sentinel without first notifying such Person that such Person shall be bound by and become a party to these Terms by making any use of such private keys while such Delegation is in effect.
    • No Assignment: The User may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment or transfer in violation of this provision shall be null and void. Sentinel reserves the right to assign, transfer, or delegate our rights and obligations under these Terms, in whole or in part, without restriction or prior notice to You. This agreement does not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
    • Entire Terms: The rule of contra proferentem, which provides that any ambiguity in a contract should be interpreted against the drafter, shall not apply to these Terms. The parties acknowledge that these Terms have been mutually reviewed, and any ambiguity shall not be used to the detriment of Sentinel. All provisions shall be interpreted fairly and in accordance with their intended purpose. These Terms along with a specific written agreement entered into between a User and/or Client and Sentinel for the provision of Services (a "Service Agreement") (if any executed between the parties) comprise the parties‘ complete agreement relating to the subject matter hereof and supersede all prior or contemporaneous agreements and understandings, both written and oral, between the parties.
    • Hierarchy and Conflict of Terms. In the event of any conflict or inconsistency between:
      (a) these Terms;
      (b) any general terms and conditions of any other contractual party; and
      (c) the Service Agreement between the contractual parties,
      the following order of precedence shall apply:
      • The specific Service Agreement shall take precedence over all other terms to the extent it expressly addresses the subject matter in question;
      • Where the Service Agreement is silent, these Terms shall govern;
      • Where both the Service Agreement and these Terms are silent, the matter shall be governed by applicable law.
    • Under no circumstances shall the general terms and conditions of any other party apply, and such terms are hereby expressly excluded.

    • Notices: All notifications under these Terms must be in writing (including e-mail). Notices shall be regarded as given when they are received.
    • Force Majeure: A Force Majeure Event refers to any event or circumstance beyond the reasonable control of Sentinel that prevents, delays, or hinders its ability to perform its obligations under these Terms; such events include, but are not limited to, natural and external events like acts of God, including earthquakes, floods, hurricanes, wildfires, lightning, tsunamis, or other natural disasters, pandemics, epidemics, biological outbreaks, or government-imposed quarantines, war (whether disasters, pandemics, epidemics, biological outbreaks, or government-imposed quarantines, war (whether declared or not), armed conflicts, riots, insurrections, acts of terrorism, civil unrest, labor strikes, industrial disputes, embargoes, or trade restrictions; legal and regulatory events such as changes in Laws, regulations, court orders, government directives, or regulatory restrictions that impact staking operations or blockchain services, government-imposed bans, sanctions, or restrictions on blockchain networks, staking services, cryptocurrencies, or digital assets, law enforcement actions, asset seizures, or compliance-related interruptions affecting blockchain operations; Validator Node and blockchain-related events including consensus failures where blockchain validators fail to reach consensus, leading to stalled or reverted transactions, unexpected hard Forks or soft Forks causing operational disruptions or incompatibility issues, blockchain reorganizations (reorgs) where previously confirmed blocks are replaced, leading to transaction rollbacks, 51% attacks where malicious control over a blockchain‘s hashing power enables double-spending or manipulation, protocol failures or bugs in staking mechanisms or blockchain code leading to loss of funds or service failures; cybersecurity and technological failures such as hacks or security breaches involving unauthorized access, theft of funds, private key compromises, or malicious cyber activities targeting blockchain infrastructure, denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks aimed at overwhelming blockchain nodes or staking platforms, smart contract exploits leading to unintended fund transfers or disruptions, infrastructure failures including server outages, data center failures, cloud service disruptions, or hardware malfunctions affecting Sentinel‘ operations; communication and internet disruptions including internet service failures such as widespread network outages, loss of connectivity, or ISP failures preventing validator participation, satellite or relay node failures interrupting blockchain communication channels affecting staking performance, censorship or blacklisting imposed by governments restricting access to blockchain nodes or staking services; economic and market events like extreme market volatility leading to unforeseen fluctuations in digital asset prices, Network fees, or staking reward structures, liquidity crises where validators, delegators, or exchanges face liquidity shortages impacting staking rewards or token withdrawals, network congestion due to high transaction volumes increasing fees, transaction delays, or failed staking operations; in the event of a Force Majeure Event, Sentinel shall not be liable for any failure or delay in performance but will make commercially reasonable on a best efforts basis to mitigate the effects and resume services as soon as practicable.
    • Suspected abuse and/or breach of contract. In the event of suspected abuse of Sentinel and/or breach of any provision of the Agreement (including these Terms and Conditions and other Annexes), Sentinel reserves the right to permanently disable access to and/or remove, without explanation, any User whose account is suspected of having abused and/or attempted to abuse Sentinel and/or its content and/or breached the Agreement without any refund breached the Agreement without any refund for the Services already paid for. Sentinel also reserves the right to claim damages for such behaviour and/or breach.
    • Changes to the Terms and Conditions. Sentinel reserves the right to modify the terms, conditions, content, and features of the Sentinel at its sole discretion. Changes to prices will not affect services already provided. The User shall be informed of the changes in accordance with the applicable legislation. Continued use of Sentinel shall be deemed to constitute acceptance of the amended terms and conditions and/or terms and conditions and/or other changes.
    • Availability of documentation. The Terms and Conditions and other relevant legal documents are accessible at all times on the website:www.sentinelstake.com.
    • Disputes. This contract is governed by Delaware law. The parties shall resolve any disputes arising from this contract amicably. If an amicable resolution is not possible, any dispute, difference, controversy or claim arising out of or in connection with this contract, including (but not limited to) any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, shall be subject to the exclusive jurisdiction of the Courts of Delaware.
    • Nullity. In the event that any provision/s of these Terms and/or applicable contract is/are invalid, all other provisions shall remain in full force and effect.
